It's not the esthetics that I was referring to. In my experience the C-D graded plywood is made from a rather soft wood with no particular effort taken to avoid voids, gaps etc in the layers. Putting screws, or other type fasteners into C-D plywood is like trying to nail JELLO to the wall. Making it work well is not a trivial process and if you value your time at all, it is less expensive to buy a better quality plywood product.

Otherwise, no difference at all. You can re-paint as
often, or as seldom, as you please. And if it's cheap
plywood, you won't care so much when it gets that
first scrape or ding.
