Grey market merchandise is imported from overseas without a U.S. warranty. 
For this reason, it's a little less expensive than merchandise with U.S. 
warranty. In the case of Kodak film, this is film that was manufactured 
here, shipped overseas, then shipped back to this country. God knows how 
many X-ray machines it's seen, or how close to expiration it is after all 
that travel time. So grey market film isn't a good idea, IMHO.
