I have almost the same setup.  1.6ghz amd, 1GB memory running debian linux
and win2000 running in vmware.  Works very well.  I keep a backup copy of
vmware's disk image.  If windows ever gets really messed up, I just move
the image in place and reboot.  The suspend/instant restore feature in 
vmware is great as well. 

RAM is good, always install as much as you can.
